Terms of Service

These Terms of Service ("Terms") govern your use of services provided by ColSythe Technologies LLC ("we", "us", or "our"), including web design, web development, and managed hosting services offered through colsythe.com. By engaging our services, you agree to these Terms.

1. Services

ColSythe Technologies provides the following services:

• Web design and development
• Managed website hosting
• Website care plans
• Custom infrastructure and deployment projects

The scope of any engagement is defined in a separate project agreement or proposal provided prior to work beginning. These Terms apply to all services unless otherwise specified in writing.

2. Payments

One-time project fees are invoiced per the terms outlined in your project agreement. Payment is due within 30 days of invoice unless otherwise agreed in writing.

Recurring hosting and care plan fees are billed monthly or annually depending on your selected plan. Recurring billing begins on the date your plan is activated. Failure to pay within 15 days of the due date may result in suspension of services.

All fees are non-refundable unless otherwise stated in your project agreement.

3. Cancellation

You may cancel your hosting or care plan at any time by providing 30 days written notice to hello@colsythe.com. Service will remain active through the end of the current billing period. We do not offer prorated refunds for unused time within a billing period.

We reserve the right to terminate services at our discretion with 30 days notice, or immediately in cases of misuse, non-payment, or violation of these Terms.

4. Client Responsibilities

You are responsible for:

• Providing accurate information required to deliver your project or maintain your service
• Maintaining the security of any credentials we provide to you
• Ensuring your website content complies with applicable laws and does not infringe on third-party rights
• Notifying us promptly of any unauthorized access or security incidents affecting your hosted environment
• Maintaining your own backups of critical data, independent of those we provide

5. Acceptable Use

You may not use our hosting services to host content or operate applications that:

• Violate any applicable local, state, federal, or international law
• Distribute malware, spam, or phishing material
• Infringe on the intellectual property rights of others
• Facilitate unauthorized access to systems or networks
• Consume excessive server resources in a manner that degrades service for other clients

We reserve the right to suspend or terminate services immediately if we determine, at our sole discretion, that your use violates this policy.

6. Intellectual Property

Upon receipt of full payment for a completed project, you own the final deliverables including design files and code specific to your project. We retain ownership of any proprietary frameworks, tools, or processes used in delivering your project.

We may reference your project as an example of our work in our portfolio unless you request otherwise in writing.

7. Limitation of Liability

To the fullest extent permitted by law, ColSythe Technologies LLC shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of our services, including but not limited to loss of revenue, data loss, or business interruption.

Our total liability to you for any claim arising from our services shall not exceed the total fees paid by you in the three months preceding the claim.

8. Third-Party Services

Our hosting infrastructure is provided by HostArmada. We are not responsible for outages, data loss, or service degradation caused by third-party providers. We will make reasonable efforts to communicate and resolve issues on your behalf.

9. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Ohio.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to active clients via email with reasonable advance notice. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.
